This Early Access Agreement (the "Agreement") is entered into between Stravity Systems, Inc. dba Sorva ("Sorva") and the company agreeing to these terms ("Customer").
1. INTRODUCTION AND DEFINITIONS
1.1 This Agreement is designed for companies selected by Sorva to participate in its Early Access Program for Sorva, an autonomous outbound platform designed to replace traditional lead generation tools and workflows. Sorva delivers fully managed prospecting powered by AI, helping teams scale faster with less overhead.
1.2 "Early Access Program" means the limited-availability program allowing Customer to access and use Sorva's platform before its general release.
1.3 "Usage Credits" means the units used to process outbound actions such as lead outreach, enrichment, and campaign execution.
2. EARLY ACCESS PROGRAM OVERVIEW
2.1 Sorva grants Customer a non-exclusive, non-transferable license to access and use the Sorva platform as part of the Early Access Program.
2.2 The Early Access Program is expected to run until the general release of Sorva, targeted for Q1 2026. Sorva reserves the right to modify this timeline.
3. LICENSE TERMS AND DURATION
3.1 The license granted under this Agreement is for a fixed term of 12 months from the date of Customer's onboarding.
3.2 This license is subject to the terms and conditions of this Agreement and any additional terms provided in Customer's order form.
4. BENEFITS AND FEATURES
4.1 Early Access Program benefits may include, but are not limited to:
a) Access to Sorva's outbound engine
b) Usage credits for outbound campaigns
c) Early onboarding
d) Ongoing updates
e) Direct input into development
f) Early feature access
g) Locked-in pricing incentives
4.2 Specific benefits are as outlined in Customer's order form.
5. USAGE CREDITS SYSTEM
5.1 Customer's use of Sorva is measured in Usage Credits. Different lead types may require varying credit amounts.
5.2 The number of Usage Credits provided is specified in Customer's order form.
5.3 Additional Usage Credits may be purchased at Sorva's then-current rates.
6. ONBOARDING AND SUPPORT
6.1 Onboarding will occur in waves based on package selection date and Sorva's internal scheduling.
6.2 Support will be provided via email and direct communication channels.
6.3 Sorva may provide priority assistance to certain customers based on their package level.
7. CUSTOMER FEEDBACK AND DEVELOPMENT INPUT
7.1 Customer agrees to provide feedback on Sorva's platform during the Early Access Program.
7.2 Sorva will consider Customer's feedback in product development but is under no obligation to implement any specific suggestions.
8. LIMITATIONS AND RESTRICTIONS
8.1 Customer acknowledges that during the Early Access Program:
a) Product features may evolve
b) Availability may vary
c) The platform may contain bugs or cause service interruptions
8.2 No specific performance guarantees or uptime commitments are made during the Early Access Program.
9. PRICING AND PAYMENT
9.1 Pricing and payment terms are as specified in Customer's order form.
9.2 All fees are non-refundable.
10. TERMINATION AND CANCELLATION
10.1 This Agreement is for a fixed term and early cancellation is not permitted except in cases of material breach by either party.
10.2 Sorva reserves the right to suspend service for misuse or non-payment.
10.3 Upon termination, Customer will have 30 days to export any data, after which it may be deleted from Sorva's systems.
11. DATA HANDLING, OWNERSHIP, AND PRIVACY
11.1 Sorva retains ownership of the software and its underlying technology.
11.2 Customer data pushed to Customer's CRM belongs to Customer.
11.3 Sorva may use anonymized data to improve its platform.
12. INTELLECTUAL PROPERTY
12.1 All intellectual property rights in Sorva's platform remain the property of Sorva.
12.2 Customer is granted no intellectual property rights other than the limited license to use the platform as per this Agreement.
13. DISCLAIMERS AND LIMITATIONS OF LIABILITY
13.1 THE SORVA PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.
13.2 SORVA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.
13.3 SORVA'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER FOR THE EARLY ACCESS PROGRAM.
14. DISPUTE RESOLUTION
14.1 Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration.
14.2 The arbitration shall be conducted by a single arbitrator in accordance with the rules of the American Arbitration Association.
15. GOVERNING LAW
15.1 This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
16. GENERAL PROVISIONS
16.1 Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof.
16.2 Amendments: This Agreement may only be amended in writing signed by both parties.
16.3 Assignment: Customer may not assign this Agreement without Sorva's prior written consent.
16.4 Severability: If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.5 Force Majeure: Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
By checking the box at checkout, Customer acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Early Access Agreement.
